Artist Representation Agreement

This Artist Representation Agreement ("Agreement") is entered into as of [Effective Date], by and between:

NFT ART MARKET (NFT ART MKT) ("Representative," "NFT ART MKT," "we," "us"),

and

Together, the "Parties."

1. PURPOSE OF AGREEMENT

The purpose of this Agreement is to establish NFT ART MKT as the authorized business representative and intermediary for the Artist's NFT artworks, allowing NFT ART MKT to showcase, promote, negotiate, and facilitate sales of the Artist's work on behalf of the Artist.

The Artist retains full creative independence and ownership, while NFT ART MKT manages the commercial and buyer-facing aspects of sales.

2. SCOPE OF REPRESENTATION

2.1 Services Provided

NFT ART MKT may provide the following services:

  • •Curated display of Artist's NFT works
  • •Promotion and presentation in NFT ART MKT's gallery
  • •Communication with prospective buyers and collectors
  • •Pricing discussions and negotiation on behalf of the Artist
  • •Facilitation of NFT sales and transfers
  • •Coordination of private sales and curated drops
  • •Assistance with licensing or commercial-use inquiries (if applicable)

NFT ART MKT does not provide financial, tax, or legal advice.

3. ARTIST OWNERSHIP & RIGHTS

3.1 Ownership

The Artist retains full ownership of:

  • •The underlying artwork
  • •Copyright and intellectual property
  • •Moral rights (where applicable)

Nothing in this Agreement transfers ownership to NFT ART MKT unless expressly agreed in writing.

3.2 License to Represent

The Artist grants NFT ART MKT a non-exclusive / exclusive (select one) license to:

  • •Display the artwork on NFT ART MKT platforms
  • •Use images of the artwork for marketing and promotional purposes
  • •Represent the artwork in buyer communications

4. EXCLUSIVITY (IF APPLICABLE)

Non-Exclusive Representation

Artist may sell or list the same artwork elsewhere.

NFT ART MKT has exclusive representation rights for the specified works during the term of this Agreement.

5. PRICING & SALES AUTHORITY

6. COMMISSIONS & FEES

6.2 Payment to Artist

Artist payments will be made:

7. ROYALTIES & SECONDARY SALES

8. ARTIST REPRESENTATIONS & WARRANTIES

The Artist represents and warrants that:

  • •The artwork does not infringe on third-party rights
  • •The NFT is lawfully minted
  • •The artwork is not defamatory, illegal, or fraudulent
  • •They have authority to enter into this Agreement

NFT ART MKT may remove works that violate these warranties.

9. LICENSING & COMMERCIAL USE

  • •NFT purchases do not automatically grant commercial rights
  • •Any licensing or commercial-use agreement must be separately negotiated
  • •NFT ART MKT may assist in licensing negotiations with Artist approval

10. TERM & TERMINATION

10.1 Term

This Agreement begins on the Effective Date and continues until terminated.

10.2 Termination

Either party may terminate with [30] days written notice.

NFT ART MKT may terminate immediately if:

  • •Artist breaches this Agreement
  • •Artwork violates platform standards
  • •Fraud or misconduct is suspected

10.3 Effect of Termination

Upon termination:

11. CONFIDENTIALITY

Both parties agree to keep confidential:

12. LIMITATION OF LIABILITY

NFT ART MKT shall not be liable for:

Lost profits

Market fluctuations

Blockchain or smart-contract failures

Secondary-market performance

Buyer behavior or resale outcomes

All services are provided "as is."

13. INDEMNIFICATION

Artist agrees to indemnify and hold harmless NFT ART MKT from claims arising from:

  • •Illegal or infringing content

14. NO EMPLOYMENT OR PARTNERSHIP

This Agreement does not create:
